These Terms of Service ("Terms") govern your access to and use of the website and services provided by Bonzer Group Pte. Ltd. ("Bonzer", "we", "us", or "our"). By accessing or using our website, digital products (including ESDNova, ServoArc, and Neumara), or engaging our engineering services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our services.
Bonzer provides precision engineering, fabrication, installation, software, and industrial monitoring solutions. The specific scope, deliverables, timelines, and pricing of any engagement will be defined in a separate quotation, proposal, or contract. In the event of any conflict between these Terms and a signed agreement, the signed agreement shall prevail.
You must be at least 16 years of age and have the legal capacity to enter into binding agreements to use our services. If you are accessing our services on behalf of a company, you represent that you have the authority to bind that entity to these Terms.
Where our products require authentication, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately of any unauthorised access or security breach. We may suspend or terminate access where we reasonably suspect misuse.
You agree not to misuse our services, including but not limited to: attempting to gain unauthorised access to systems, interfering with the proper operation of services, introducing malware or harmful code, scraping or reverse-engineering our products, or using our services for unlawful or fraudulent purposes.
All content, software, designs, logos, documentation, and materials provided by Bonzer are the intellectual property of Bonzer or its licensors. Nothing in these Terms grants you any rights to our trademarks, trade names, or proprietary technology except as expressly stated in a separate licence or agreement.
You retain ownership of materials, data, and information you provide to us for the purposes of a project. You represent that you have the rights to share such materials and grant Bonzer a non-exclusive licence to use them solely for delivering the agreed services.
Where projects involve the exchange of confidential information, both parties agree to protect such information from unauthorised disclosure and to use it only for the purposes of the engagement. Confidentiality obligations may be further defined in a separate non-disclosure agreement.
Unless otherwise agreed in writing, invoices are issued upon project milestones or completion and are payable within 30 days. Late payments may incur interest charges. We reserve the right to suspend work or access to products for accounts in arrears.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, all services and products are provided "as is" without additional warranties, and we do not guarantee uninterrupted or error-free operation.
To the maximum extent permitted by law, Bonzer shall not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or business interruption arising from the use of our services. Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim.
You agree to indemnify and hold Bonzer harmless from any claims, damages, or expenses arising from your misuse of our services, your violation of these Terms, or your infringement of third-party rights in connection with materials you provide to us.
We may suspend or terminate access to our services at any time for breach of these Terms or where required for legal or security reasons. Upon termination, all outstanding amounts become immediately due. Provisions that by their nature should survive termination — including intellectual property, confidentiality, and limitation of liability — shall remain in effect.
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising shall be submitted to the exclusive jurisdiction of the courts of Singapore, without prejudice to Bonzer's right to seek injunctive relief in any competent jurisdiction.
We may revise these Terms at any time. The most current version will always be available on this page with an updated "last revised" date. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
